Corporate & M&A

Our Corporate & M&A practice advises companies, investors and business groups on transactions and corporate matters in Turkey. Much of our transactional work is cross-border, involving multinational groups, foreign investors and international counsel.

We advise from the structuring and due diligence stages through negotiation, signing, closing and local implementation. Alongside the transaction documents, we manage the Turkish corporate approvals, registrations and other local requirements needed to implement the deal.

We also act as ongoing corporate counsel to Turkish subsidiaries of multinational groups, advising on governance, capital and shareholder matters, changes in management and representation, reorganisations and routine corporate requirements.

  • Acted for a US multinational media and entertainment group on its acquisition of 100% of a Turkish media service provider from one of Turkey’s largest private-sector conglomerates.
  • Advised a US multinational engineering group on the acquisition by its Spanish subsidiaries of 100% of a Turkish construction and engineering consultancy company.
  • Advised a Chinese state-owned enterprise on establishing a joint venture with a Turkish construction company to participate in a high-speed railway project in Turkey.
  • Advised Turkish media and streaming companies within an international group on capital increases, shareholder funding and debt capitalisations, including structuring, corporate approvals, the attendance of a Ministry of Trade representative at general assemblies and Trade Registry registration.
  • Advised a German multinational medical devices manufacturer on an intra-group share transfer involving its Turkish and Swiss subsidiaries.
  • Advises the Turkish operations of a US multinational technology company on corporate governance matters, including board and shareholder procedures, director changes, representation arrangements and amendments to its articles of association.
